Warehouse Agreement And Receipt Storage Terms And Conditions

One. The Company shall not be liable for any loss, destruction or damage to the Goods, however caused, unless such loss, damage or destruction results from the Company`s failure to exercise the care that a reasonably prudent person would exercise in similar circumstances. The Company will not be liable for damages that could not have been avoided by exercising this care. The Company and the Customer agree that the Company`s duty of care referred to herein does not extend to the supply of a sprinkler system in the warehouse complex or parts thereof. Without limiting the general quality of the foregoing, the warehousekeeper`s liability resulting from legal liability, if any, is limited to the declared value of the stored goods or the minimum value of loss or damage to the stored goods, whichever is lower, but in no event does the liability exceed fifty dollars ($50.00) per pallet. The Owner agrees to pay Warehouseman fifteen (15) days after receipt of the invoice in US funds. The Owner agrees to pay for all services provided by Warehouseman and not specified herein as invoiced by Warehouseman. Payments received by Warehouseman may, at Warehouseman`s sole discretion, first be applied to the late fees or the oldest storage fees due. In the event that the Owner does not pay any undisputed fees, which are due and payable hereon, upon due date, Warehouseman may retain all services under this Agreement. Failure by the Owner to comply with this provision shall be deemed a material breach of this Agreement. If such breach continues for a period of thirty (30) days after Owner receives written notice of the breach, Warehouseman may terminate this Agreement immediately upon written notice to Owner. Such termination will not release the Owner from payment or performance of any amounts or obligations accumulated and outstanding at the time of effective termination. .
